Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of Smilenow, a service operated by 17818556 Canada Inc. (“Smilenow,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. The service
Smilenow connects dental clinics with prospective new patients. Clinics subscribe to a monthly plan and, in addition, pay a performance fee for each patient routed to them. We provide the platform that introduces patients to clinics; we do not provide dental advice or care, and we are not a party to the relationship between a clinic and its patients.
2. Eligibility and accounts
The service is intended for dental clinics and their authorized representatives. You must provide accurate information when you sign up and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be authorized to enter into these Terms on behalf of your clinic.
3. Pricing
Pricing is fixed and uniform. Every clinic on a given plan pays the same listed fee — there are no negotiated deals, discounts, or surcharges. Our plans are:
- Basic — $100 per month, up to 3 patients routed per month.
- Pro — $300 per month, up to 10 patients routed per month.
- Enterprise — $500 per month for each block of 50 patients, selectable from 50 to 250 patients per month in steps of 50 ($500, $1,000, $1,500, $2,000, or $2,500 per month).
In addition to the monthly plan fee, a performance fee of $399 applies for each patient routed to your clinic. All prices exclude tax.
4. Billing
- Subscriptions are billed monthly. The recurring charge is made at midnight UTC on the 1st of each month.
- When you sign up mid-month, or when you upgrade your plan, the charge is prorated by whole days for the remainder of the billing period and charged immediately.
- Plan downgrades take effect at the start of the following billing period; you keep your current plan’s capacity until then.
- Tax is calculated automatically at the time of invoicing based on your clinic’s province, using our payment provider’s tax service. All listed prices are shown before tax; the tax-inclusive amount is shown at checkout and on each invoice.
- The monthly plan fee is charged in full for your selected plan and capacity regardless of how many patients are actually routed in that period.
5. Cancellation and refunds
- You may cancel at any time, yourself, from the Billing page in your portal — no phone call is required.
- Cancellation takes effect at the end of your current billing period (midnight UTC on the 1st). You keep full access until then, and you may resume your subscription before it ends.
- Subscription fees are non-refundable. The monthly fee is charged in full regardless of how many patients are routed, and unused capacity is not refunded or credited.
- If a payment fails, we automatically retry it. If the retries are exhausted, the subscription is cancelled automatically.
6. Acceptable use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable regulations.
- Provide false, misleading, or fraudulent information.
- Interfere with, disrupt, or attempt to gain unauthorized access to the service or its systems.
- Use the service in a way that infringes the rights of patients, other clinics, or us.
You are responsible for complying with all laws and professional and regulatory obligations that apply to your practice, including those of your dental regulator.
7. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a specific number of patients, any particular outcome, or that the service will be uninterrupted or error-free.
8. Limitation of liability
To the fullest extent permitted by law, Smilenow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the service. Our total liability for any claim relating to the service will not exceed the amounts you paid to us in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. The courts located in Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.
